These Terms of Service ("Terms") govern your access to and use of the SenseUni Labs. website (the "Site"). In these Terms, "SenseUni," "we," "us," and "our" refer to SenseUni Labs. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Site Purpose

The Site provides business-to-business information about YEPZI smart coolers, SenseUni Vision AI technology, and related products, software, integration, deployment, and support capabilities. It also provides channels for requesting a quote and making project, partnership, support, supplier, media, and other business inquiries.

The Site is not currently an online consumer store. Product pages, technical information, estimated return-on-investment tools, and inquiry forms do not constitute an offer to sell, an order confirmation, or acceptance of an order. The Site does not currently complete consumer checkout or accept online payment.

Eligibility and Business Use

You may use the Site only if you can legally enter into these Terms. If you use the Site on behalf of a company or other organization, you represent that you are authorized to act for that organization and to provide the submitted information.

Quotations and Separate Agreements

Any quotation, proposal, pilot, demonstration, purchase, license, integration, delivery, warranty, support, or other commercial arrangement is subject to a separate written quotation or agreement issued or accepted by the relevant SenseUni entity or authorized partner. No commercial agreement is formed solely because you submit a form or receive an automated acknowledgment.

Availability, configuration, certification, pricing, taxes, payment terms, delivery, installation, software access, connectivity, warranty, service levels, support, and market-specific requirements are determined in the applicable written quotation or agreement. If these Terms conflict with a signed agreement or accepted quotation, that agreement or quotation controls for the relevant project.

Permitted Use

You may view and use the Site for legitimate informational and business-evaluation purposes. You must not:

• use the Site in violation of law or the rights of another person;
• attempt to gain unauthorized access to the Site, accounts, systems, or networks;
• interfere with Site security, availability, or operation;
• introduce malware, automated abuse, or harmful code;
• scrape, copy, or extract Site content at scale without our written permission;
• misrepresent your identity, affiliation, or business purpose; or
• use Site content to create a misleading impression that you are endorsed by or affiliated with SenseUni.

Information and Tools

We aim to keep Site information useful and current, but specifications, illustrations, availability, features, compatibility, certifications, integrations, deployment processes, and other content may change. Images may show prototypes, optional components, example interfaces, or configurations that are not included in every project.

Any calculator, estimate, scenario, case study, or performance statement on the Site is provided for planning and discussion only. Actual results depend on location, traffic, assortment, pricing, operations, costs, configuration, and other factors. You should independently evaluate assumptions before making a business decision.

Intellectual Property

The Site and its text, graphics, photographs, videos, interface elements, software, designs, trademarks, logos, product names, and other content are owned by SenseUni or its licensors and are protected by applicable intellectual-property laws. Except for limited viewing and internal business evaluation, you may not reproduce, modify, distribute, publish, display, license, sell, or create derivative works from Site content without prior written permission.

Nothing on the Site grants a license to any patent, trademark, copyright, software, model, dataset, technical design, or other intellectual property except as expressly stated in a separate written agreement.

Submissions and Confidential Information

You are responsible for the accuracy and lawfulness of information you submit. Do not submit passwords, payment card information, regulated sensitive personal information, source code, product designs, trade secrets, or other confidential technical material through a general Site form.

A general inquiry does not create a confidentiality obligation. If confidential information is required for project evaluation, please ask us to put an appropriate nondisclosure agreement in place before disclosure. This does not limit obligations already established by a separate written agreement.

Third-Party Services and Links

The Site may contain links to Shopify, social media platforms, payment or integration providers, distributors, or other third-party services. Third-party services are governed by their own terms and privacy notices. We do not control and are not responsible for third-party content, availability, security, or practices. A link does not necessarily imply endorsement.

Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information through the Site.

Disclaimers

To the maximum extent permitted by law, the Site and its content are provided "as is" and "as available." We disclaim warranties regarding accuracy, completeness, availability, uninterrupted operation, fitness for a particular purpose, merchantability, non-infringement, and results obtained from use of the Site. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by law, SenseUni and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Site or these Terms. Where liability cannot be excluded, it will be limited to the minimum amount permitted by applicable law.

These limitations apply only to the Site and do not replace any liability terms contained in an applicable signed commercial agreement or accepted quotation.

Availability, Suspension, and Changes

We may modify, suspend, or discontinue any part of the Site at any time. We may restrict access where reasonably necessary to protect security, investigate misuse, comply with law, or maintain the Site. We may update these Terms from time to time by posting a revised version and changing the date above. Your continued use after an update means you accept the revised Terms to the extent permitted by law.

Applicable Law and Project Terms

These Terms are governed by the laws applicable to the SenseUni entity responsible for operating the Site, without regard to conflict-of-law principles, except where mandatory law requires otherwise. Any separate quotation or commercial agreement may identify a different governing law, dispute process, and contracting entity, and those project-specific provisions will control for that arrangement.

Severability and No Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect and the affected provision will be enforced to the greatest extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
